Choice of Law Provision
GoDocs can turn on the Alternative Governing Law (AGL) option for your account:
When AGL is selected on a loan, the documents split jurisdiction as follows:
-
Property Jurisdiction (eg. Tennessee):Enforcement of Lender's statutory power of sale and/or judicial foreclosure procedures; the construction, validity, enforceability and performance of the Environmental Indemnity; and the creation, perfection and enforcement of the security interests created pursuant thereto and pursuant to the other Loan Documents.
-
Governing Jurisdiction (eg. New Jersey):Matters of construction, validity, enforceability and performance of the Note and any other Loan Document, and the obligations arising hereunder and thereunder.

The governing jurisdiction election covers the Note and loan document obligations — which is where your interest, loan charges, commitment fees, and brokerage commission provisions live — while foreclosure, the Environmental Indemnity, and lien-related matters remain under property law.
