Effective August 1, 2025:
- Third-Party Marketplace. To provide greater transparency, we have added language clarifying that any third-party e-signature tools are provided as a convenience only, with compliance responsibility remaining with you. We also added a clause requiring customers to indemnify GoDocs from claims arising from their use of any elective third-party product or service. This reinforces that you have a direct relationship with these providers. [Section B]
- Updated Payment Dispute Process. The procedure for handling invoice disputes has been clarified. The new terms specify a 10-day window for good faith negotiations to resolve a payment dispute before the issue is formally escalated to the dispute resolution process set forth in Section U. [Section C]
- Customization and Implementation Charges. We have clarified our policy on customization charges. Minor text changes during initial onboarding are not typically charged, while extensive modifications or alterations to software functionality will be reviewed on a case-by-case basis. [Section D]
- Software License; Acceptable Use; Availability. We have expanded our "Acceptable Use" policy to more clearly define prohibited activities, such as using the services to transmit unlawful material or attempting to gain unauthorized access. We also updated our Force Majeure clause to specifically include modern cyber threats like denial-of-service attacks. [Section E]
- Data, Privacy, and Security. To enhance our partnership on security, you now have the right to request a "bridge letter" for our SOC 2 reports and to provide GoDocs with an information security questionnaire once per calendar year. We also added a clause clarifying our right to use aggregated, de-identified data to train our artificial intelligence technologies to improve the accuracy and functionality of our services. - Representations for Specific Loan Products. As we expand our services, we have added a new section with detailed representations and disclaimers for specialized document sets, including SBA Loan Documentation and State Forms for Liens on Titled Personal Property. [Section M]
- Customer-Supplied Language. The terms now clarify that GoDocs' right to use any "Customer-Supplied Language" to improve its systems survives the termination or expiration of the contract. [Section O]
- Disclaimers; Limitations on Liability. In line with our new product offerings, we have added specific and detailed disclaimers related to the complexity of SBA loans and state-specific titled property forms. [Section Q]
- Termination. This section has been restructured for clarity. We have created a distinct clause for "Immediate Termination for Critical Breach" and expanded the list of breaches that allow for immediate termination (without a cure period) to include violations of Acceptable Use, Unauthorized Use of Documents, and Confidentiality. [Section R]
- Feedback. We added a new section to clarify that any suggestions or feedback you voluntarily provide may be freely used by GoDocs to improve our products and services for all users. [Section BB]
